Welcome to Autopilot Engine. These Terms of Service ("Terms") govern your access to and use of the Autopilot Engine platform, website, and related services (collectively, the "Service") provided by FifthBoston Holdings ("Company," "we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Autopilot Engine is an AI-powered business automation platform that provides:

• AI customer support automation
• Lead qualification and scoring
• Email automation and sequences
• Workflow automation tools
• Integration with third-party services
• Analytics and reporting dashboards

The specific features available to you depend on your subscription plan (Starter, Growth, or Enterprise).

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any losses arising from unauthorized use of your account.

4. Subscription and Payment

4.1 Subscription Plans

We offer the following subscription tiers:

• Starter: $997/month
• Growth: $1,997/month
• Enterprise: $2,997/month

4.2 Free Trial

New accounts receive a 14-day free trial. After the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. No credit card is required to start the trial.

4.3 Billing

Subscriptions are billed monthly in advance. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. Payments are processed securely through Stripe.

4.4 Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

5.2 Refunds

We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied with the Service within the first 30 days of your paid subscription, contact us for a full refund. After 30 days, fees are non-refundable.

6. User Conduct and Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Scrape, data mine, or collect user information without consent
• Use the Service to create competing products
• Resell or redistribute the Service without authorization

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by FifthBoston Holdings and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Your Content

You retain ownership of all content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to use, process, and display Your Content solely to provide the Service to you. We do not use Your Content to train AI models for other customers.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

The Service may integrate with third-party applications and services. Your use of such integrations is subject to the terms and policies of those third parties. We are not responsible for the practices or availability of third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIFTHBOSTON HOLDINGS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless FifthBoston Holdings, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Service Modifications and Termination

13.1 Changes to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that negatively affect your use.

13.2 Termination

We may terminate or suspend your account immediately for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination by contacting support.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
